Introduction	With reference to the announcement made by Southern Province Cement Company (the “Company”) on 17/12/1445H (corresponding to 23/06/2024G) on the Saudi Exchange’s website regarding the signing of a non-binding memorandum of understanding with Yanbu Cement Company on 17/12/1445H (corresponding to 23/06/2024G) for the purpose of evaluating the feasibility of a merger between the two companies (the “MOU”), and the Company’s subsequent announcement on 27/12/1446H (corresponding to 23/06/2025G) regarding the extension of the MOU for three additional months, ending on 30/03/1447H (corresponding to 22/09/2025G). The Company would like to announce that the MOU has expired without reaching a final agreement between the two parties. The Company extends its sincere thanks to the board of directors and employees of Yanbu Cement Company for their cooperation throughout the duration of the MOU.
