SAL Saudi Logistics Services Co. Announces the Completion of the Acquisition of 100% of the Capital of Aviapartner Liège SA

Introduction	Further to the announcement published by SAL Saudi Logistics Services (“SAL” or “the Company”) on Saudi Exchange website dated 19-09-1447H (corresponding to 5-03-2026G), regarding the Company’s signing of a sale and purchase agreement with Aviapartner Belgium NV (“AP Belgium”) and Aviapartner Holding NV (“AP Holding”) (“AP Holding” and together with AP Belgium, the "Sellers"), for the acquisition of 100% of the Sellers’ shares in the capital of Aviapartner Liège SA (“Aviapartner Liège” or the “Acquired Company”). SAL is pleased to announce the completion of all conditions precedent, regulatory approvals and procedures required to complete the acquisition transaction, and the finalization of the sale and purchase of the shares to its subsidiary, (“SAL International Ground Handling B.V.” or the “Purchaser”) as per the signed assignment notice.

Summary of Acquisition / Purchase	SAL has completed the acquisition of all shares of Aviapartner Liège, following the fulfilment of conditions precedent, and receipt of all necessary regulatory approvals from the relevant authorities. The initial payment for the transaction, as stipulated in the Sale and Purchase Agreement, was made from the Company's own funds. Consequently, SAL International Ground Handling B.V., a wholly owned subsidiary of SAL based in Amsterdam, Netherlands, has become the direct owner of the Acquired Company following the completion of the shares transfer in accordance with the signed Assignment Notice. This acquisition strengthens SAL's strategy and reinforces its presence in one of Europe's strategic global air cargo hubs, contributing to the diversification of its revenue streams by providing an integrated air cargo services platform and a robust network of relationships with global air cargo carriers.
