Methodology of Convening the General Assembly’s Meeting	Attendance in-person and via modern technology means
Attendance Eligibility, Registration Eligibility, and Voting End	Attendance right is granted to shareholders registered in the Company’s shareholder registry at the Securities Depository Center (Edaa) at the end of the trading session preceding the assembly meeting, in accordance with applicable laws and regulations. Registration for attendance ends at the time the meeting is convened. Voting eligibility for the attending shareholders ends upon the vote-counting committee’s completion of counting the votes.
Quorum for Convening the General Assembly's Meeting	In accordance with Article (38) of the Company’s bylaws, the meeting shall be valid if shareholders representing at least 50% of the voting shares are present. If the required quorum is not met, a second meeting will be held one hour after the end of the first meeting’s scheduled time, and the second meeting shall be valid regardless of the number of voting shares represented.
General Assembly Meeting Agenda	1. Voting on the election of Board members from among the nominees for the upcoming term, which begins on 28 December 2025 and runs for four years, ending on 27 December 2029. (Attached: the CVs of the nominees). 2. Voting on authorizing the Board of Directors with the authority of the Ordinary General Assembly as stipulated in paragraph (1) of Article (27) of the Companies Law, for one year from the date of the Assembly’s approval or until the end of the authorized Board term, whichever comes first, in accordance with the regulatory rules and procedures related to listed joint stock companies.

Registration and voting are available free of charge to all shareholders through Tadawulaty using the link: www.tadawulaty.com.sa
Details of the electronic voting on the Assembly’s agenda	Shareholders registered in Tadawulaty may vote electronically on the agenda items starting at 1:00 AM on Friday, 12 December 2025 corresponding to 21 Jumada Al-Akhirah 1447 AH until the end of the meeting time. Registration and voting are available free of charge for all shareholders via: www.tadawulaty.com.sa
