| Policy and criteria of nomination | Nomination Requirements: 1- The nominee must satisfy the eligibility requirements and qualifications for membership of the Board of Directors as stipulated under the Companies Law and its Implementing Regulations issued by the Ministry of Commerce, as well as the Corporate Governance Regulations issued by the Capital Market Authority. 2- The nominee shall complete and sign the nomination forms and complete the accompanying schedules, while observing the deadlines and timeframes specified in the Company's nomination announcement. (Attached). 3- The nominee shall attach a clear copy of the National Identity Card or Iqama, Family Register (if applicable), together with the nominee's contact details, including the National Address, mobile number, landline number (if any), and email address. 4- The nominee shall complete and submit the Capital Market Authority Disclosure Forms No. (1) and No. (3) together with the nomination application. The forms may be obtained from the Capital Market Authority's website at the following link: https://cma.org.sa/RulesRegulations/FormsSite/Pages/default.aspx 5- All nomination forms must be completed in both Arabic and English. In the event of any discrepancy or inconsistency between the two versions, the Arabic version shall prevail. |
