| Attendance Eligibility, Registration Eligibility, and Voting End | Each shareholder registered in the Company’s shareholders register maintained by the Securities Depository Center Company (Edaa) at the end of the trading session preceding the General Assembly Meeting is entitled to attend the meeting, in accordance with the applicable laws and regulations. Eligibility to register attendance for the General Assembly Meeting shall end upon commencement of the meeting, and the right of attendees to vote on the agenda items shall end when the vote-counting committee completes the counting of votes. |
| Quorum for Convening the General Assembly's Meeting | Pursuant to Article (34) of the Company’s Bylaws, the Extraordinary General Assembly Meeting shall be valid only if attended by shareholders representing at least fifty percent (50%) of the Company's share capital. If the required quorum is not met at the first meeting, a second meeting shall be held one hour after the time scheduled for the first meeting. The second meeting shall be valid if attended by shareholders representing at least twenty-five percent (25%) of the Company's share capital. |
| Meeting Agenda | 1. Vote on the Board of Directors’ recommendation to increase the Company’s share capital by way of a bonus share issue to the Company’s shareholders, as follows: - Total amount of the capital increase: SAR 203,149,540. - Share capital before the increase: SAR 1,015,747,690, which will increase to SAR 1,218,897,230, representing an increase of 20%. - Number of shares before the increase: 101,574,769 shares, which will increase to 121,889,723 shares. - The capital increase aims to strengthen the Company’s capital base to align with its total assets and further enhance its financial position. - The capital increase will be effected through the capitalization of SAR 93,614,972 from the statutory reserve and SAR 109,534,568 from the share premium account, by granting one (1) bonus share for every five (5) shares held. - In the event of fractional shares, such fractions will be aggregated into a single portfolio for all shareholders, sold at the market price, and the proceeds distributed to the eligible shareholders pro rata to their respective entitlements within a period not exceeding 30 days from the date on which each shareholder’s entitlement is determined. - If this item is approved, eligibility for the bonus shares shall be limited to shareholders who own shares on the date of the Extraordinary General Assembly Meeting and who are registered in the Company's shareholders register maintained by the Securities Depository Center Company (Edaa) at the end of the second trading day following the eligibility date. - Vote on the amendment of Article (7) of the Company’s Bylaws relating to the share capital. - Vote on the amendment of Article (8) of the Company’s Bylaws relating to the subscription for shares. |
