Attendance Eligibility, Registration Eligibility, and Voting End	The right to attend is for shareholders registered in the company’s shareholders’ register at the Depository Center at the end of the trading session preceding the general assembly meeting, in accordance with the rules and regulations. The right to register attendance at the general assembly meeting ends at the time the general assembly meeting is held, and the right to vote on the general assembly items for those present ends when the sorting committee finishes sorting the votes.
Quorum for Convening the General Assembly's Meeting	According to Article (33) of the company’s articles of association, the extraordinary general assembly meeting shall not be valid unless it is attended by shareholders representing at least half of the company’s shares that have voting rights. If this quorum is not available at the first meeting, the second meeting shall be held one hour after the end of the period specified for holding the first meeting. In all cases, the second meeting shall be considered valid if it is attended by a number of shareholders representing at least a quarter of the company’s shares that have voting rights.
General Assembly Meeting Agenda	1. Vote on the company's auditors' report for the fiscal year ending June 30, 2025, after discussing it. 2. Review and discuss the Board of Directors' report for the fiscal year ending June 30, 2025. 3. Review and discuss the company's financial statements for the fiscal year ending June 30, 2025. 4. Vote on absolving the members of the Board of Directors from liability for the fiscal year ending June 30, 2025. 5. Vote on the appointment of the company's auditor from among the candidates, based on the recommendation of the Audit Committee, to examine, review, and audit the company's interim financial statements for the first half ending December 31, 2025, and the annual financial statements ending June 30, 2026. And determining his fees. 6. Voting on authorizing the Board of Directors to distribute interim dividends to shareholders on a semi-annual or quarterly basis for the fiscal year ending June 30, 2026. 7. Voting on authorizing the Board of Directors to exercise the authority of the Ordinary General Assembly to authorize the Board of Directors under paragraph (1) of Article Twenty-Seven of the Companies Law, for a period of one year from the date of approval by the General Assembly or until the end of the term of the authorized Board of Directors, whichever comes first, in accordance with the conditions stipulated in the Executive Regulations of the Companies Law for listed joint-stock companies. 8. Voting on the transactions and contracts concluded between the company and the Digital Encyclopedia for Trade Company, in which the Vice Chairman of the Board of Directors (Mr. Ahmed Abdullah Al-Kanhal) has an indirect interest, which are (purchases of computers, smart boards, office and school supplies). These transactions were for the year 2025, and these transactions are conducted in the normal course of business and in accordance with the prevailing commercial terms and without any preferential conditions. The value of the transactions during the year 2025 AD amounted to (1,916,842) Saudi riyals (attached). 9. Voting on transferring the balance of the statutory reserve amounting to (3,531,410) Saudi riyals as per the annual financial statements ending on (30-06-2025 AD) to the balance of retained earnings.
