Introduction	With reference to the announcement issued by United Mining Industries Company (the "Company") published on the Saudi Stock Exchange (Tadawul) website on 26/11/1447H (corresponding to 13/05/2026G) on behalf of Knauf International GmbH ("Knauf") regarding its receipt of a notification from Knauf of the completion of the Private Transaction (as defined therein) (“Private Transaction Completion Announcement”), and with reference to the addendum announcement to the Private Transaction Completion Announcement published by the Company on the Saudi Stock Exchange (Tadawul) website on 03/12/1447H (corresponding to 20/05/2026G), which reference that the tender offer that Knauf is planning to submit to acquire up to 100% of the remaining shares of the Company as soon as possible following the closing of the Private Transaction (the "Tender Offer") remains under discussion. The Company is pleased to announce, on behalf of Knauf and pursuant to Article 17(e) of the Merger and Acquisitions Regulations, Knauf's firm intention to make the tender offer in accordance with the terms, conditions and procedures, to be disclosed in the offer document upon its publication.
