| Introduction | First Milling Company (the “Company”) announces the opening of nominations for the Eighth (8) seat on the Company’s Board of Directors for the current term, which started on August 15, 2023, and will continue for three years, ending on August 14, 2026. The nomination for Board membership shall be conducted in accordance with the provisions of the Saudi Companies Law, the Corporate Governance Regulations issued by the Capital Market Authority, the Company’s Articles of Association, and the rules of the Company’s Nomination and Remuneration Committee. Individuals wishing to nominate themselves for the Board of Directors of the Company, and who meet the required conditions and qualifications, must submit their nomination applications within the period specified in the announcement and in accordance with the details provided below. | Policy and criteria of nomination | The candidate must fulfill the eligibility criteria for Board Membership as follows: 1- Fulfilling the conditions of the Board Membership Policy approved by the General Assembly (attached). 2- Submit during the period specified above a signed letter to the Nomination and Remuneration Committee stating his\her wish to be nominated (attached), the letter is to be accompanied by his\her CV, qualifications and experience in the business of the Company. 3- Submit Form (1) CV in Arabic and English. (attached) 4- Submit a signed copy of Form No. (3) in Arabic and English, issued by the Capital Market Authority, to nominate for membership in the Board of Directors. (Attached). The form can be obtained through the Authority’s website https://cma.gov.sa/en/RulesRegulations/FormsSite/Pages/default.aspx 5- Submit a statement containing details of the number and dates of memberships on the boards of directors of other joint stock companies and the committees that he\she has assumed or is still a member of. 6- Submit a statement containing details of companies or institutions that the candidate manages or owns, and which conduct similar business to the Company. 7- Attach a clear and valid copy of the national ID card, family card, and passport (for non-Saudis), or the commercial registration for companies and establishments, along with the candidate's contact numbers. 8- All documents and certificates attached to the nomination request must be in Arabic, and certified by the official authorities, and the candidate must provide a certified Arabic translation of any documents written in a foreign language. 9- You must review the relevant laws and regulations, including the regulations of the Remuneration and Nominations Committee, the Board of Directors membership policy, and the regulations issued by the Capital Market Authority, and ensure that they are met, and the candidate bears responsibility for that. The Remuneration and Nominations Committee will study the applications received by the candidates based on what was stipulated in Paragraph (2) of Article Sixty-Two of the Corporate Governance Regulations, noting that voting in the General Assembly will be limited to those who nominated themselves for Board membership in accordance with the previous conditions and standards. The Remuneration and Nominations Committee will exclude any application for nomination that does not meet the conditions and applications in accordance with the Board of Directors’ membership policy, without referring to it or notifying it. |
