Mohammed Hasan AlNaqool Sons Co. Announces the appointment of the Chairman of the Board, the Vice Chairman, the Managing Director, the appointment of the Board Secretary, the formation of committees, and the appointment of the company’s representatives to both the Capital Market Authority and the Saudi Stock Exchange (Tadawul) for the new term.

The Board of Directors of Mohammed Hassan Al-Naqool Sons Company is pleased to announce the resolutions adopted by the Board at its meeting held on Monday, 24/06/1447 AH (15/12/2025 AD), which are as follows:

First: Appointment of the Chairman of the Board, the Vice Chairman, and the Managing Director as follows:

- Appointment of Mr. Majed Mohammed Hassan Al-Naqool (Chairman of the Board – Non-Executive Member)

- Appointment of Mr. Mohammed Hazza Mohammed Al-Mutairi (Vice Chairman of the Board) Chairman of the Board (Independent Member)

- Appointment of Mr. Turki Mohammed Hassan Al-Naqool (Managing Director – Executive Member)

Second: Formation of the Remuneration and Nominations Committee, comprising the following members:

1. Mr. Hatem Hamza Ali Al-Shallali (Chairman of the Committee).

2. Mr. Abdullah Batti Rajih Al-Subaie (Member of the Committee).

3. Mr. Majed Mohammed Hassan Al-Naqool (Member of the Committee).

Third: Formation of the Risk Management Committee, comprising the following members:

1. Mr. Mohammed Hazza Mohammed Al-Mutairi (Chairman of the Committee).

2. Mr. Mubarak Ayed Mohammed Al-Subaie (Member of the Committee).

3. Mr. Majed Mohammed Hassan Al-Naqool (Member of the Committee).

Fourth: The Audit Committee has been formed and will be announced in a separate announcement in accordance with disclosure requirements.

Fifth: A Secretary to the Board of Directors has been appointed, as well as the company's representatives to the Capital Market Authority and the Saudi Stock Exchange (Tadawul), for all purposes related to the application of the Capital Market Law and its Implementing Regulations.
