| Policy and criteria of nomination | Subject to the policies, standards, and procedures for Board membership approved by the company's General Assembly (attached), the nomination application must meet the following requirements: 1. Submission of a nomination letter for the new Board term addressed to the Nominations and Remuneration Committee (attached). 2. Completion of Form No. (1), the curriculum vitae form issued by the Capital Market Authority, in both Arabic and English (attached), detailing the candidate's personal information, qualifications, and experience. The form must be submitted in both Word and PDF formats. 3. Submit a signed copy of Form No. (3) issued by the Capital Market Authority for nomination to the Board of Directors (attached). 4. Candidates who have previously served on the boards of directors of joint-stock companies must attach a statement specifying the number and dates of the boards of directors of the companies on which they have served or are currently serving. 5. If the candidate is a current or former member of the Saudi Fisheries Company, they must attach to their nomination application a statement from the company's management regarding their last term of board membership, including: a. The number of board meetings held during each year of the term. b. The number of meetings the member attended in person, and their attendance rate. c. The standing committees in which the member participated, the number of meetings held by each committee during each year of the term, the number of meetings the member attended, and their attendance rate. 6. A clear copy of the National ID card and family registration for individuals, and commercial registration for companies and institutions, along with the candidate's contact information. 7. The candidate must disclose any conflicts of interest, including: a. A direct or indirect interest in business and contracts conducted on behalf of the company. b. Participation in any activity that competes with the company or with it in any of its business branches. The Remuneration and Nominations Committee will review the submitted candidate applications in accordance with Article 62, Paragraph (2) of the Corporate Governance Regulations. It should be noted that voting at the General Assembly will be limited to those who have nominated themselves for membership on the Board in accordance with the regulations and standards outlined in the Board Membership Policies, Standards, and Procedures. The Remuneration and Nominations Committee will reject any incomplete application that does not meet the requirements and specifications of the Board Membership Policies and Standards, without prior notice or consultation with the applicant. |
