Latest Developments Of The Announced Event	The Company announces that, in accordance with its announcement published on Tadawul on 24 March 2026 regarding the annual consolidated financial results for the period ended 31 December 2025, the accumulated losses as of 31 December 2025 have reached SAR 45.7 million representing 76.20% of the Company’s capital. The Company would like to note that it previously announced on Tadawul on 11 March 2026 the Board of Directors’ recommendations regarding the accumulated losses, which include: Recommending to the Extraordinary General Assembly to approve the continuation of the Company through the partial extinguishment of accumulated losses, based on an unconditional waiver submitted by the major shareholder, Taya Holding Company, of its creditor balances with Mayar Holding Company as of 11 March 2026, amounting to SAR 16,800,000 (Sixteen Million Eight Hundred Thousand Saudi Riyals). It is noted that the last date for the Board of Directors to invite the Extraordinary General Assembly to convene and consider the continuation of the Company is 08-01-1448H, corresponding to 22 June 2026.
