Introduction	Altharwah Albashariyyah Co. (Tharwah) announces the signing by its wholly owned subsidiary (Tharwah Higher Institute for Training Co. – Tharwah Academy) of a partnership agreement with King Saud University, represented by King Abdullah Institute for Research and Consulting Studies, with the aim of providing training programs and professional certifications in accordance with the programs approved under the agreement’s appendices and the agreed implementation, coordination, and accreditation mechanisms.

Memorandum Subject	A partnership agreement to provide training programs and professional certifications in accordance with the programs approved under the agreement’s appendices, and to define the mechanisms for program implementation, coordination, registration, and accreditation.
Memorandum Duration	The term of the agreement is three (3) years from the date of signing. It does not renew automatically, and any renewal shall be by written agreement between the parties at least sixty (60) days prior to the end of the term.

Financial Impact	The financial impact is expected to be reflected in (Tharwah Higher Institute for Training Co. – Tharwah Academy) through its share of revenues generated from program delivery and trainee registrations, in accordance with the revenue-sharing mechanism set out in the agreement. The exact amount and timing of this impact will be determined after the commencement of program implementation. It should be noted that if no trainees are registered or no programs are delivered during the term of the agreement, no financial obligations shall arise for either party.
Additional Information	Either party may terminate the agreement by providing thirty (30) days’ written notice in accordance with the agreement’s provisions, subject to completing ongoing programs as governed by the relevant terms.
