| Policy and criteria of nomination | The candidate must submit a signed application expressing their desire to be nominated for membership of the Board of Directors, including the following: - Fulfillment of the general requirements for Board membership and the nomination criteria set forth in the Board Membership Policies, Standards, and Procedures approved by the Company’s General Assembly (attached). - Completion and submission of a signed Form No. (3) issued by the Capital Market Authority (CMA) for the curriculum vitae of a candidate for board membership in a listed joint-stock company (attached). The form may also be obtained from the CMA website in both Arabic and English via the following link: https://cma.org.sa/RulesRegulations/FormsSite/Pages/default.aspx - Completion of Form No. (1) (attached) for the candidate’s curriculum vitae, including personal details, qualifications, and experience in the Company’s field of business. The form must be submitted in both Word and PDF formats. - A clear and valid copy of the National ID (for individuals) or Commercial Registration (for companies and institutions) must be attached, along with the candidate’s contact details. - Disclosure of any conflicts of interest, including any direct or indirect interest in the business and contracts carried out for the benefit of Middle East Healthcare Company, or participation in any activity that may compete with the Company in any of its lines of business. - Disclosure of any family or other relationships with any of the Company’s major shareholders, senior executives, or external auditors. 2. If the candidate has previously served as a member of the Board of Directors of a joint-stock company, they must submit a statement specifying the number and dates of their board memberships in the companies in which they have served, including the following: - The number and dates of Board meetings held during each year of their membership, the number of meetings attended in person, and their attendance percentage relative to the total meetings. - The permanent committees formed by the Board in which the candidate participated, the number of meetings held by each committee during each year of the term, the number of meetings attended, and the attendance percentage. - Confirmation that the candidate does not serve on the boards of more than five listed joint-stock companies simultaneously. Secondly: Nomination Criteria 1. Any shareholder may nominate themselves or one or more other persons for membership of the Board of Directors. 2. The candidate must possess professional competence, leadership capability, sound judgment, guidance ability, and financial knowledge, in addition to being medically fit. 3. The candidate must not have been previously convicted of any offense involving dishonesty or breach of trust. Note: Candidates are kindly requested to complete the attached required forms in both Arabic and English. The Nomination and Remuneration Committee will take into consideration, when evaluating candidates, the diversity of academic qualifications and practical experience, and will give priority to candidates possessing the appropriate skills required for Board membership. Voting at the General Assembly shall be limited to those who have nominated themselves in accordance with the above-mentioned rules and requirements. |
