Introduction	Further to Allied Cooperative Insurance Group (the “Company”) previous announcement dated 02/02/1447H (corresponding to 27/07/2025G) regarding the Board's recommendation to increase the capital by offering shares with suspension of preemptive rights, the Company announces that its Board of Directors has recommended on 10/08/1447H (corresponding to 29/01/2026G ) to increase the Company's capital from (291,000,000) Saudi Riyals to (300,000,000) Saudi Riyals with the suspension of pre-emptive rights, by offering (900,000) new ordinary shares (representing (3.09%) of the Company’s current capital), with a nominal value of (10) Saudi riyals per share, at an offer price of (10) Saudi Riyals per share and with a total offer value of (9,000,000) Saudi Riyals, with suspension of preemptive rights, which will be fully subscribed by Diar Al-Arabia Investment Company (the “Subscriber”). The Subscriber’s ownership will be (3%) of the Company’s capital post-increase. It should be noted that this recommendation is subject to the approval of the relevant regulatory authorities, in addition to the approval of the Company’s Extraordinary General Assembly.
