Announcement of the Board of Directors’ Resolution Regarding the Transfer of the Activities of Certain Subsidiaries to the Kingdom of Saudi Arabia and Their Voluntary Liquidation.

The Board of Directors has resolved the following:

1. To commence voluntary liquidation procedures and striking off the commercial registrations of the following companies:

 Closure and final liquidation of Hollinz GmbH, Germany, Commercial Registration No. (1) 218668.

 Closure and final liquidation of Ronzak GmbH, Germany, Commercial Registration No. (1) 218674.

 Closure and final liquidation of Glanzzen FZ- LLC, Dubai, License No. (1188).

 Closure and final liquidation of Al-Dawaa Medical Services FZ-LLC, Dubai, License No. (55).

2. To follow up on the legal status and study the necessary procedures for liquidation, cancellation, or exit from subsidiaries located outside the Kingdom, in accordance with the applicable laws and regulations in the relevant jurisdictions, in a manner that serves the best interests of the Company and its shareholders.

This decision aligns with the Company’s strategy to consolidate all its operations within the Kingdom of Saudi Arabia under the Company’s entity and in compliance with the relevant laws and regulations. The Company also confirms that this decision will not have any material impact on its financial position or operational cash flows.
