| Latest Developments Of The Announced Event | Since Dallah acquired 97.41% of the capital of Al-Ahsa stake in the Previous Transaction, it now announces the completion of the acquisition of the remaining 2.59% from four individual shareholders. For more details on Al-Ahsa’s ownership structure and the identities of these shareholders, please refer to the shareholder circular previously published by Dallah regarding the Previous Transaction on 21/08/1446H (corresponding to 20/02/2025G). Dallah completed this acquisition for a total value of SAR 10,875,200, financed through internal resources, and the shares were transferred and the shareholder register of Al-Ahsa was updated to reflect the transfer on 05/11/1447H (corresponding to 22/04/2026G), after Dallah applied the squeeze out rules of Article 230 of the Companies Law and after the Commercial Court’s appeal circuit’s decision to uphold it.
