Introduction	Pursuant to the announcement made by Sustainable Infrastructure Holding Company ("SISCO Holding") on the Saudi Exchange dated 23-10-2025, related to one of SISCO Holding portfolio companies, Green Dome Investments (“GDI”), in which SISCO Holding owns a 31.67% equity stake, signing of a Sale and Purchase Agreement (SPA) to acquire 100% stake in Transcorp International, SISCO Holding announces that GDI completed the acquisition of a 100% of equity stake in Transcorp on 05-11-2025, for an agreed purchase price of AED 225 million (SAR 229.75 million). The transaction was financed through equity provided by GDI’s shareholders. As GDI is an equity accounted associated of SISCO Holding, the impact of the transaction on SISCO Holding’s consolidated financial statements for the year ended 31 December 2025 is not material. Any financial impact related to the transaction will be reflected in the Company’s financial statements for the subsequent reporting periods in the ordinary course and in accordance with applicable accounting standards. SISCO Holding’s, share of this transaction is AED 75.0 million (SAR 76.58 million) of the total purchase price.
