Results of Board Decisions by Passing

Spinneys 1961 Holding PLC approved the acquisition of an additional 20% shareholding in Al-Ma’kulat al-Fakhirah for Food Products ("Spinneys KSA") on 30 July 2026.
The stake is being acquired from Abdul Mohsen AbdulAziz Al Hokair Holding Group for a total cash consideration of SAR 18,000,000.
The Board authorized the execution of the First Amendment to the Joint Venture & Shareholders’ Agreement related to the Saudi Arabian entity.
