Introduction	With reference to the announcement of BAAN Holding Group Company (the “Company”) on the Saudi Exchange (Tadawul) website dated 28/06/1446H (corresponding to 29/12/2024G), which included the Company’s announcement of signing two binding agreements to purchase real estate assets through an increase of the Company’s share capital and the issuance of new shares to the sellers of the real estate assets (the “Two Transactions”), And with reference to the announcement of BAAN Holding Group Company (the “Company”) on the Saudi Exchange (Tadawul) website dated 20/06/1447H (corresponding to 11/12/2025G), which included the Company’s announcement of the agreement with each of AlOula Real Estate Development Company and Ajdan Real Estate Development Company, with respect to the AlOula Transaction, and with Abdulmohsen Abdulaziz Al Hokair Holding Group Company (the “Al Hokair Holding Company”), with respect to the Al Hokair Holding Transaction, to extend the Long Stop Date such that the amended Long Stop Date for each of the AlOula Transaction and the Al Hokair Holding Transaction is 12/09/1447H (corresponding to 01/03/2026G). Previous Announcement	The agreement with each of AlOula Real Estate Development Company and Ajdan Real Estate Development Company, in relation to the AlOula Transaction, and with Abdulmohsen Abdulaziz Al Hokair Holding Group Company (the “Al Hokair Holding Company”), in relation to the Al Hokair Holding Transaction, to extend the Long Stop Date such that the amended Long Stop Date for each of the AlOula Transaction and the Al Hokair Holding Transaction shall be 12/09/1447H (corresponding to 01/03/2026G).

Latest Developments Of The Announced Event	Whereas each of the two transaction agreements stipulates that the conditions precedent for each of the two transactions must be satisfied within a period of one (1) year from the date of signing the relevant transaction agreement (the “Long Stop Date”), and whereas it was previously agreed with each of AlOula Real Estate Development Company and Ajdan Real Estate Development Company, in relation to the AlOula Transaction, and with Abdulmohsen Abdulaziz Al Hokair Holding Group Company (the “Al Hokair Holding Company”), in relation to the Al Hokair Holding Transaction, to extend the Long Stop Date for both agreements (the “Amended Long Stop Date”) to be on 12/09/1447H (corresponding to 01/03/2026G), and whereas the Company is still working on fulfilling the conditions for completion of the two transactions, including the approval of the Extraordinary General Assembly. The Company would like to announce that it has been agreed with each of AlOula Real Estate Development Company and Ajdan Real Estate Development Company, in relation to the AlOula Transaction, and with Abdulmohsen Abdulaziz Al Hokair Holding Group Company (the “Al Hokair Holding Company”), in relation to the Al Hokair Holding Transaction, to extend the Long Stop Date such that the amended Long Stop Date for each of the AlOula Transaction and the Al Hokair Holding Transaction shall be 14/11/1447H (corresponding to 01/05/2026G). It should be noted that on 17/07/1447H (corresponding to 06/01/2026G), the approval of the Capital Market Authority was issued on the Company’s request to increase its share capital for the purpose of acquiring a real estate assets owned by AlOula Real Estate Development Company and for the purpose of acquiring three (3) real estate assets owned by Abdulmohsen Abdulaziz Al Hokair Holding Group Company. The Company will announce any subsequent material developments in due course in accordance with the relevant laws and regulations.
