| Announcement Detail | With reference to the Airbus Aircraft Purchase Agreement dated 31 December 2016 and the A330neo Purchase Agreement dated 07 November 2024, both entered into with Airbus S.A.S and disclosed in the Prospectus. flynas is pleased to announce that it has exercised its contractual rights under the aforementioned aircraft purchase agreements with Airbus S.A.S, on 22 July 2026, in respect of the following: 1. Exercise of purchase options in respect of five (5) A330neo option aircraft, converting them into firm-order aircraft, bringing the total firm order of this type to twenty (20) aircraft, with ten (10) option aircraft remaining. 2. Exercise of twenty (20) A321neo Purchase Rights out of the fifty-five (55) available Purchase Rights, increasing the number of A321neo aircraft under the Company's firm orders by twenty (20), leaving thirty-five (35) Purchase Rights remaining. The exercise of these options and purchase rights has been made pursuant to, and in accordance with, the existing terms of the aforementioned agreements. Accordingly, there is no material change to the contractual obligations, terms and conditions previously disclosed in the Prospectus. The pricing mechanism remains unchanged and continues to be subject to adjustment in accordance with prevailing economic conditions. Accordingly, following the exercise of these purchase rights, the total firm order for A320neo and A321neo aircraft increases to 215 aircraft (from an initial 195 aircraft). This comprises 159 A320neo and 56 A321neo aircraft. For A330neo aircraft, the total firm order increases to 20 aircraft (from an initial 15 aircraft). Deliveries of these additional twenty-five (25) aircraft are expected during 2032–2034. The exercise of these options and purchase rights reflects the Company's confidence in its long-term growth strategy and its commitment to expanding and modernizing its fleet in line with Saudi Vision 2030 and the National Aviation Strategy. The financial impact of the exercise of these options and purchase rights will be reflected in the Company's financial statements upon delivery of the aircraft, in accordance with the agreed delivery schedule. The Company will disclose any further material developments in due course. There are no related parties to these agreements. |
