Introduction	Dr. Sulaiman Al Habib Medical Services Group (the “Group”) announces the signing of a contract with AMAALA Company, on Monday, 16 Rabi’ Al-Awwal 1447H, corresponding to 08 September 2025, for the operation, management, and maintenance of AMAALA Hospital (the “Hospital”), which is located within AMAALA destination on Red Sea coast of the Kingdom of Saudi Arabia.

Contract Value	The estimated contract value for a term of (5) years exceeds (5%) of the Group’s total revenues, according to the audited financial statements for the year 2024.
Contract Details	The scope of the contract includes providing design review services and commissioning services for the Hospital’s operational requirements, and the operation, management, and maintenance services of the Hospital which shall include providing and managing the required medical, nursing, technical, and administrative staff for the Hospital’s operation, supplying and managing medications and medical supplies, as well as providing and managing non-medical support services, all in accordance with the Hospital’s operational requirements.
Contract Duration	The contract shall commence upon notice from AMAALA Company specifying the start date for the phase of the provision of design review services of the Hospital, following the fulfilment of the agreed-upon conditions precedent, followed by the provision of commissioning services for the Hospital’s operational requirements. Thereafter, the Group shall provide Hospital operation, management, and maintenance services for a period of (5) years starting from the actual commencement date of Hospital operations, which is extendable for an additional (5) year term under the agreed-upon conditions, and may also be extended for another (5) years by mutual agreement of the parties. AMAALA Company, reserves the right to terminate the contract at any time for convenience, upon providing a notice of (180) days prior to the termination date.
Financial Impact and the Relevant Period	The financial impact of the contract is expected to be reflected in the Group’s results starting from the first quarter of the 2026 fiscal year.

Additional Information	The Hospital will provide primary and secondary healthcare services, via outpatient clinics in various medical specialties, an emergency department, inpatient wards, radiology department, lab department, pharmaceutical services, and other support departments, contributing to the enhancement of the access to comprehensive and advanced healthcare services for the residents and visitors of AMAALA destination.
