| Attendance Eligibility, Registration Eligibility, and Voting End | The right to attend is for shareholders registered in the company’s shareholder register at the Depository Center at the end of the trading session preceding the General Assembly meeting, in accordance with the regulations and bylaws. The right to register attendance for the General Assembly meeting ends at the time of the meeting, and the right to vote on the items of the General Assembly for those present ends when the counting committee finishes counting the votes. |
| Quorum for Convening the General Assembly's Meeting | According to Article (31) of the company's Articles of Association, an ordinary general assembly meeting shall not be valid unless attended by shareholders representing at least one-quarter of the company's shares with voting rights. If this quorum is not met at the first meeting, a second meeting shall be held one hour after the end of the time specified for the first meeting. In all cases, the second meeting shall be considered valid regardless of the number of shares with voting rights represented therein. |

Vote on the appointment of an auditor for the company from among the nominees, based on the recommendation of the Audit Committee, to examine, review, and audit the interim financial statements for the first half ending June 30, 2026, and the annual financial statements ending December 31, 2026, and determine their fees. 6- Voting on authorizing the Board of Directors to distribute interim dividends to shareholders on a semi-annual or quarterly basis for the fiscal year ending December 31, 2026. 7- Voting on the Board of Directors' recommendation to distribute cash dividends of SAR 7,000,000 to shareholders for the fiscal year ending December 31, 2025, at a rate of SAR 0.014 per share, representing 14% of the share capital. Eligibility for these dividends will be for shareholders who own shares at the close of trading on the day of the General Assembly meeting and are registered in the company's shareholder register at the Securities Depository Center Company (Edaa) at the end of the second trading day following the entitlement date. The dividend distribution will commence within fifteen (15) working days from the entitlement date specified in the General Assembly resolution. 8- Voting on the Board of Directors Membership Policy and Criteria (attached). 9- Voting on the election of Board members from among the nominees for the upcoming term, which begins on June 10, 2026, and lasts for four years, ending on [date missing]. 09/06/2030 AD (Attached are the candidates' CVs). |
