Introduction	Further to the announcement made by Umm Al-Qura Cement Company (“UACC” or the “Company”) on the Saudi Exchange website dated 24 Rabi' al-Thani 1446H (corresponding to 27 October 2024G) regarding the entry into an implementation agreement (the “Implementation Agreement”) with City Cement Company (“CCC”), pursuant to which CCC agreed to make an offer to acquire all shares of UACC in exchange for newly issued shares in CCC, in accordance with the Merger and Acquisition Regulations, the Rules on the Offer of Securities and Continuing Obligations, and the terms and conditions of the Implementation Agreement (the “Transaction”), and further to the announcement made by UACC on 26 Shaaban 1446H (corresponding to 25 February 2025G) regarding CCC’s firm intention to make an offer to acquire all shares of UACC, and further to the announcement made by UACC on 04 Safar 1447H (corresponding to 29 July 2025G) regarding the Capital Market Authority’s Board resolution not to approve the publication of the offer document required to be submitted by CCC to the shareholders of UACC. The Company announces the expiry of the Implementation Agreement entered into with CCC on 02 Jumada al-Awwal 1447H (corresponding to 24 October 2025G), without renewal or extension by the parties, due to the non-fulfilment of the conditions precedent stipulated in the Implementation Agreement and the parties’ decision not to waive any of such conditions prior to the lapse of one year from the date of the Implementation Agreement. UACC confirms that the expiry of the Implementation Agreement does not result in any additional financial or regulatory obligations on the Company. UACC will continue to focus on its operational and investment plans in line with its approved strategy and will announce any future material developments relating to this matter as they arise.
