| Policy and criteria of nomination | Pursuant to the provisions governing the board of directors’ membership, provided for in the Companies Law and the CMA’s Corporate Governance Regulations, in addition to the company’s bylaw and the Board membership policy approved by the General Assembly, the conditions and procedures for nominating to the Board membership are as follows: First: Conditions for Nominating to the Board Membership: 1. Fulfillment of the board membership conditions, and key principles as stated in the Board Membership Policy approved by the Ordinary General Assembly (enclosed). 2. The nominated member shall not be a board member of more than five listed joint stock companies at the same time. 3. The nominated member shall not Violate the applicable rules, regulations, and laws. Second: Procedures & Requirements for Nominating to the Board Membership: Whoever desires to nominate and believes he/she meets the conditions, requirements and the rules governing the Board of Directors’ membership, shall fulfil the following requirements within the period set out in the announcement: 1. submit his/her CV, including information on his/her career, current major job, academic qualifications, and working experiences those relevant to the Company's business. 2. Submit all forms, declarations and disclosures as may be prescribed by the Company, including: 2.1. Form of Application for Nominating to the Board of Directors Membership (enclosed) 2.2. Form (1): Nominee Profile (enclosed) 2.3. Submit a signed copy of the CMA Form (3): Nomination to the Board of Directors Membership (enclosed) 3. disclose, to the Board of Directors and the General Assembly, any conflicts of interests in accordance with the procedure prescribed by the CMA. 4. enclose a statement setting out the boards of directors and committees of other companies on which he/she served and/or is currently serving. 5. if the nominee has previously served on the Board of Directors of Yanbu National Petrochemical Company (YANSAB), his/her Application for Nominating must be accompanied by statement from the Company Management stating the last Board term in which he served as well as the following information: 5.1. The number of the Board of Directors meetings that took place during each year of the term, the number of meetings attended by the nominee in person, and the percentage of total attendance of meetings. 5.2. The standing committees on which the nominee served, the number of meetings held by each of these committees in each year of its term, the number of meetings attended by the nominee, and percentage of his/her total attendance of meetings. 6. Submit a statement setting out the companies in which he/she participates in their management or ownership, where such companies compete with YANSAB or any of its business activities or engage with the Company in some contracts or shared interests. 7. If nominated as an independent member of the Board of Directors, none of the circumstances that negate the independence requirements as specified by the Corporate Governance Regulations, shall apply to him/her. 8. The nominee shall submit a clear copy of his/her valid national identity card, family card – if any - (Iqama or passport for foreigners), and the nominee’s contact information (including mobile phone number, home address, work address and email). 9. All documents and certificates enclosed with the Application for Nominating must be in Arabic language and certified by the official authorities. Third: Procedures for the Shareholder’s Nomination of Another Person to the Board Membership: If any shareholder desires to nominate another person to the Board membership, he/she shall send to the Board affairs, during the nomination period, a letter setting out and enclosing the following: 1. The shareholder’s name, and the name and address of the person whom the shareholder desires to nominate to the Board membership. 2. A declaration by the nominating shareholder attesting that he/she is a YANSAB shareholder, has the right to vote at the General Assembly. 3. Provide the Management with the requirements and forms, specified in section “Second” hereinabove, signed by the nominee. The Remuneration & Nomination Committee will review the received applications for nominating, in accordance with the approved policies and criteria. Voting at the General Assembly will be confined to the nominees who satisfy the aforementioned conditions and requirements. |
