| Policy and criteria of nomination | 1. Nominations shall be made in accordance with the provisions of the Companies Law, the Corporate Governance Regulations issued by the Capital Market Authority, as well as the Company's Articles of Association and the membership policies, criteria, and procedures for the Board of Directors of Canadian Medical Center Company (attached). 2. Any person wishing to nominate themselves for Board membership must disclose their intention to do so through a notice submitted to the Company's management within the timeframes and deadlines stipulated by applicable policies, regulations, and rules (attached), and must provide the Company with all supporting documents, including: National ID card, family card (if applicable), passport for non-Saudi candidates, and any other related documents required by the Company to fulfill regulatory requirements. 3. Submit a signed copy of CV Form No. (3) issued by the Capital Market Authority for nomination to Board membership, in both Arabic and English (attached). 4. Submit CV Form No. (1) issued by the Capital Market Authority in both Arabic and English (attached). 5. The nominee must not currently serve as a board member of five or more listed joint-stock companies simultaneously. 6. The nominee must not be subject to any prohibition from working in joint-stock companies as imposed by regulatory authorities of the capital market. 7. A statement of listed joint-stock companies in which the nominee currently holds board membership. 8. A statement of companies, establishments, or entities in whose management the nominee participates or which the nominee owns and which carry out activities similar to those of the Company. 9. A nominee who has previously served as a board member of a joint-stock company must provide a statement from that company's management regarding the most recent term of membership, containing the following information: a. The number of Board of Directors meetings held during each year of the term. b. The number of meetings attended in person by the member and the attendance rate relative to total meetings. c. The standing committees in which the member participated, the number of meetings held by each such committee during each year of the term, the number of meetings attended, and the attendance rate relative to total meetings. 10. The nominee must disclose any conflict of interest, including any direct or indirect interest in the business and contracts conducted on behalf of the Company, or participation in any activity that could compete with or rival the Company in any branch of its business activities. Please note that the Remuneration and Nominations Committee will consider the diversity of academic qualifications and practical experience of nominees when making its selection and will give priority to applicants with appropriate skills required of a Board member. Voting at the General Assembly shall be limited to those who have nominated themselves in accordance with the controls and requirements stated above. Incomplete applications or those received after the nomination period has closed will not be considered. |
