(Tharwah) announces that its Board of Directors, by resolution dated 03/07/1447H (corresponding to 23/12/2025G), approved amendments to the composition of the Board of Directors’ positions and executive management for the current term, which commenced on 10/12/2023G and ends on 09/12/2027G. These amendments shall take effect as of 1 January 2026, as follows: 1) Acceptance of Dr. Saleh bin Khalaf Al-Harthi’s request not to continue as Chairman of the Board, while remaining a member of the Board of Directors. 2) Approval of the appointment of Mr. Abdullah bin Saud Al-Dablan as Chairman of the Board of Directors. 3) Approval of the appointment of Mr. Fahad bin Saad bin Muammar as Vice Chairman of the Board of Directors. 4) Acceptance of the resignation of Mr. Abdullah bin Mardi Al-Zahrani from the position of Chief Executive Officer effective 01/01/2026G, while remaining a member of the Board as a Managing Director; this will be announced in a separate announcement in compliance with the regulations and policies issued by the Capital Market Authority. 5) Approval of the appointment of Dr. Saleh bin Khalaf Al-Harthi as Chief Executive Officer effective 01/01/2026G; this will be announced in a separate announcement in compliance with the regulations and policies issued by the Capital Market Authority.
